License:

Paymentz.ai grants you a limited, non-exclusive, non-transferable license to use the Software and Services for your internal business purposes, subject to these terms and conditions.

Fees:

You agree to pay all fees associated with your use of the Software and Services. Paymentz.ai reserves the right to modify its fees at any time. If you do not agree to the modified fees, you may terminate your use of the Software and Services.

Your Content:

You retain all ownership rights in any content that you upload to the Software and Services (“Your Content”). You grant Paymentz.ai a non-exclusive, worldwide, royalty-free license to use, copy, modify, create derivative works based on, distribute, and display Your Content solely for the purpose of providing the Software and Services to you.

Confidentiality:

You acknowledge that the Software and Services contain confidential and proprietary information of Paymentz.ai. You agree to keep confidential all information you receive from
Paymentz.ai in connection with your use of the Software and Services, and to use such information only for the purposes of using the Software and Services.

Termination:

Paymentz.ai may terminate your use of the Software and Services at any time for any reason. Upon termination, all licenses granted to you by
Paymentz.ai will terminate, and you must immediately cease all use of the Software and Services.

Disclaimer of Warranties:

The Software and Services are provided “as is” and without warranty of any kind, whether express, implied, or statutory, including but not limited to any warranties of merchantability, fitness for a particular purpose, or non-infringement. Paymentz.ai does not warrant that the Software and Services will be error-free or uninterrupted.

Limitation of Liability:

Paymentz.ai will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Software and Services, including but not limited to any damages for lost profits, loss of data, or business interruption.

Indemnification:

You agree to indemnify, defend, and hold harmless Paymentz.ai and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or in connection with your use of the Software and Services, or your breach of these terms and conditions.

Governing Law:

These terms and conditions will be governed by and construed in accordance with the laws of the jurisdiction in which Paymentz.ai is located, without giving effect to any choice of law or conflict of law provisions.

Entire Agreement:

These terms and conditions constitute the entire agreement between you and Paymentz.ai with respect to your use of the Software and Services, and supersede all prior or contemporaneous agreements, understandings, or communications between you and Paymentz.ai, whether oral or written.
